Unacademy Sold for $206 Million With ₹900 Crore in the Bank. Do the Subtraction.

upGrad closed its acquisition of Unacademy on 1 September 2026 at ₹19.55 billion, just over $206 million and roughly 94% below the $3.44 billion peak set in August 2021. Unacademy's CEO says the company held ₹900 crore in cash and could have continued independently. At the deal's own implied exchange rate that cash is close to $95 million — meaning the operating business, the brand, PrepLadder and Graphy were collectively priced at something near $111 million, against more than $860 million raised. And because the consideration is upGrad stock rather than cash, the great majority of holders have not had an exit at all. They have swapped one illiquid private position for another.

Frequently Asked Questions

Often not. Employee options are usually common stock, which sits at the bottom of the payout waterfall. Preferred investors are generally entitled to receive a defined amount first, and if the sale price does not clear that stack, common receives nothing regardless of how much the company appears to have sold for. The main exceptions are a negotiated management or employee carve-out, or investors agreeing to waive part of their preference. Neither has been disclosed in the Unacademy transaction, so nothing here establishes what employees received.

How deals actually distribute

We read the structure rather than the headline valuation: preference stacks, all-stock consideration and who ends up holding paper.
